DOMA STOCK TERMS OF SALE


These are the terms of the agreement between Buyer and Seller for the sale of any
Items on the website. By submitting the order and continuing to the checkout Buyer confirms
that Buyer had read all of these terms and agrees to be bound by all of them.


1. Buyer and Seller: “Seller” or “Doma Stock” means Doma Source LLC, a New Jersey Limited Liability Company doing business under the name of Doma Stock. Its offices are located at 90 Triangle Boulevard, Carlstadt, New Jersey 07072-2701 United States (973) 900-9969. The term “Buyer” means the person or entity purchasing or placing the order for any
Item listed on the website.


2. Money Back Guarantee: Doma Stock offers a full money back guarantee if a Buyer is not satisfied with an Item purchased from the Doma Stock website. A Buyer who is not completely satisfied with an Item, must return the Item to Doma Stock within thirty (30) days after the Buyer receives it. Buyer must call Doma Stock to obtain a return approval code, before returning the Item and must make sure that the code is included with the return. The Item must be returned to the location from which it was shipped or picked up. The Item cannot be damaged or show signs of ware, use or installation in any way. It must be returned in the
original, sealed packing in which it was delivered or received. The refund will be in the same form in which the payment was made, and for the full Purchase Price less freight / shipping and
delivery charges. The refund will be processed within fourteen (14) days after receipt and
acceptance of the returned Item. Buyer must refer to the Item Product Page for restrictions on
partial returns. For permitted partial returns however, all Items in a Container (whether it is a
box, carton, crate, package or other container) must be returned. If any Item within a
Container has been removed, used or damaged, then the Container is not permitted to be
returned as part of this money back guarantee. The Money Back Guarantee may not apply to
certain Items listed on the website. Buyer must check the Item Product Page to determine if
the Money Back Guarantee does not apply to that Item.


3. Warrantees: Manufacturer’s warrantees are described on the Item Product Page
on the Doma Stock website. All warranty claims must be made directly to the manufacturer of
the Item in accordance with the terms of the Warranty.


4. Payment: Payment must be made by credit, charge or debit card, or through the payment processor designated by Buyer at checkout. All payments shall be in United States dollars ($US) unless otherwise designated in the checkout process. Buyer agrees to comply with the terms of use of the applicable credit or debit card company or the payment processor which Buyer uses for the purchase. Buyer is responsible for all sales, use and other taxes in connection with the purchase. If the transaction is exempt from sales taxes, Buyer must provide Doma Stock with a valid tax exemption certificate.


5. Inspection, return and limitation of remedies: Buyer must inspect all Items upon receipt by Buyer. If an Item appears to have been damaged during shipment (as for example, if Buyer sees damage to a Container upon delivery) Buyer should make a note of that and take photographs so that there will be a record of the damage that can be sent to Doma Stock. All
claims for a damaged or non-conforming Item must be made to Doma Stock in writing within
fourteen (14) days after delivery or pick-up of the Item. Buyer must contact Doma Stock to obtain a return approval code and a return shipment authorization, before returning the Item. The approval code must accompany any return. The damaged or non-conforming Item must be returned to the location from which it was shipped or picked up within twenty-one (21) days
after the Item is delivered to or picked up by Buyer. These timeframes and procedures for
claims and returns apply to a damaged or non-conforming Item, unless the Item Product Page
states something different. In that case, the timeframes for claims and returns appearing on
the Item Product Page will apply. In the event one or more Items is or are damaged or non-
conforming, Doma Stock’s liability is limited to the following: Doma Stock will either repair or
replace the damaged or non-conforming Item or Items, or portions thereof, at Doma Stock’s
cost; or, Doma Stock will refund the Purchase Price for the Item or Items. These are the sole
and exclusive remedies for a damaged or non-conforming Item or Items and will be determined
by Doma Stock at Doma Stock’s sole discretion.
6. Returns: Buyer must contact Doma Stock and obtain a return authorization code before returning any Item no matter what the reason is for the return. Any return that is made without prior authorization from Doma Stock, or which does not contain the return authorization code will be subject rejection or a ten (10%) percent handling and restocking charge, at Doma Stock’s option.


7. Risk of Loss: Risk of loss for Items purchased from the website passes to Buyer upon delivery of the Item to Buyer. If the Item Product Page has different terms concerning transfer of Risk of Loss for an Item, then the terms on the Item Product Page will apply.


8. Submission of Order Deemed Offer by Buyer: Buyer’s order to Doma Stock constitutes an offer to buy the Item(s) selected. Doma Stock has the right to accept or reject the offer at Doma Stock’s option. Doma Stock will be deemed to have accepted the order upon Buyer’s receipt of a notice that the order has been shipped to Buyer or upon pick up by Buyer. Sending an order confirmation, acknowledging receipt of an order or processing payment for the order prior to shipment, shall not be considered acceptance of the order.


9. Changes/Cancellations of Order: Orders may be changed or cancelled at any time prior to shipment or pick up. The change or cancellation will be effective upon issuance of a confirmation by Doma Stock. Buyer must promptly review the confirmation and notify Doma Stock of any errors or inaccuracies in the confirmation. Changes may result in delays and additional charges.


10. Shipments and Delivery Dates: Shipping and delivery dates for any Item purchased on the website are estimates and are not guaranteed by Doma Stock or any other entity, unless specifically stated on the Item Product Page. Doma Stock makes every effort to meet the shipping and delivery dates. However, there are many circumstances that are beyond Doma Stock’s control. Therefore, Doma Stock and/or the manufacturers, wholesalers or suppliers of the Item(s) are not responsible for any delays or disruptions in the shipping or delivery of any Items. All deliveries are curbside unless otherwise specifically selected or stated in the delivery options and confirmed in the order confirmation.


11. Variations in color or characteristics. Items listed for sale on the website include natural products and products consisting of or containing natural materials. As a result, Items
purchased by Buyer may differ in gradations of color, texture, graining and other features or
characteristics which may be shown or depicted on the website, sales materials or on any samples that may have been viewed by Buyer. All such Items are sold subject to the variations
inherent in natural products. Buyer also understands and acknowledges that Items listed for sale on the website may expand and contract seasonally and are sensitive to changes in climatic conditions including variations in temperature, moisture and humidity. Any differences in gradations of color, texture, graining or other features or characteristics and any expansion or contraction of any Items as a result of climactic conditions shall not be deemed non-conformance of the Items or damage or a defect in the Items and shall not give rise to any claim for damage or refund.


12. Disclaimer of warrantees; waiver and limitation of damages: Doma Stock is not a
designer, manufacturer, fabricator, assembler or installer of any of the Items listed on the Doma Stock website.

DOMA STOCK DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTY WITH RESPECT TO ANY OF THOSE ITEMS. DOMA STOCK DISCLAIMS ALL EXPRESS AND IMPLIED
WARRANTEES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTY OF
MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT WILL DOMA STOCK BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS. THESE DISCLAIMERS ARE IN ADDITION TO ALL OTHER DISCLAIMERS OF WARRANTEES THAT MAY APPEAR ON THE ITEM PRODUCT PAGE. BUYER AGREES THAT DOMA STOCK’S MAXIMUM LIABILITY OR RESPONSIBILITY FOR DAMAGES TO BUYER, ARISING OUT OF, RELATING TO, IN CONNECTION WITH OR IN RELATION TO THIS AGREEMENT AND/OR THE ITEM(S) PURCHASED BY BUYER (AND REGARDLESS WHETHER THE DEMAND FOR DAMAGES IS MADE BY DIRECT CLAIM OR BY CONTRIBUTION OR INDEMNITY FROM ANOTHER ENTITY) SHALL NOT EXCEED THE  AMOUNT PAID FOR THE SPECIFIC ITEM PURCHASED BY BUYER IRRESPECTIVE OF THE AMOUNT OF THE FULL ORDER.


13. Choice of Law of Use of Arbitration to resolve disputes: This Agreement and all
matters collateral hereto shall be governed by and construed in accordance with the laws of the State of New Jersey without regard to its (or any other State’s) conflict of laws principles. All
claims, disputes or controversies between Buyer and Doma Stock arising out of or relating to
this agreement, use of Doma Stock’s website, or purchase of any Item shall be resolved
exclusively by arbitration administered by, and under the rules of, JAMS. All proceedings shall
be held in Newark, New Jersey, unless such location is not convenient for the arbitrator, in
which event the proceedings shall be held at an acceptable location in Bergen County, New
Jersey. The award rendered by the arbitrator shall be final. Buyer and Doma Stock agree to
arbitration only on an individual basis. Buyer shall not join or consolidate claims of others
against Doma Stock or participate in any claim against Doma Stock as a class representative or a class member. Buyer agrees that it shall not commence a class action against Doma Stock.
